Commerce Terms
Additional terms for WebForger sites that sell online. Last updated 22 October 2026 (v1.0). These terms supplement the Terms of Use and apply only to sites with commerce features switched on.
Quick read: When you sell through a WebForger site, you are the seller. Your buyers contract with you, pay into your own Stripe account, and look to you for refunds, delivery and consumer guarantees. WebForger provides the store software and hosting; Stripe provides the payment service under its own terms. Card details go straight to Stripe and never pass through our servers. You are responsible for your products, your policies, your marketing consent and your taxes. We can pause commerce features if a store breaks these terms, the Acceptable Use Policy or Stripe's rules.
1. Scope and how these terms fit together
These Commerce Terms apply to any WebForger site on which you enable commerce features, including product catalogues, checkout, subscriptions, gift cards, store credit, loyalty and membership programmes, product reviews, wishlists, digital file downloads and the AI agent ordering channel (together, "Commerce Features"). They are additional terms under the Terms of Use ("Terms"). Words defined in the Terms have the same meaning here.
If these Commerce Terms conflict with the Terms, these Commerce Terms prevail for Commerce Features only. Our Data Processing Addendum applies to the personal information of your buyers that we process for you. Sites that do not use Commerce Features are not affected by this page.
You accept these Commerce Terms when you enable any Commerce Feature, connect a Stripe account to your site, or take an order through your site, whichever happens first.
2. You are the merchant of record
Every sale made through your site is a sale between you and your buyer. You are the merchant of record: your business name is the seller, the payment is processed on your own Stripe account, and the contract of sale, the obligation to deliver, and the obligation to refund are yours. WebForger is not a party to the sale, does not take title to goods, does not hold buyer funds, and does not act as your agent in dealing with buyers.
You must show your business name and contact details on your site so that buyers know who they are buying from.
3. Payments through Stripe
Stripe's terms apply to you directly. Online payments on WebForger stores are processed by Stripe through Stripe Connect. To accept payments you must have a Stripe account and accept Stripe's terms: the Stripe Services Agreement and, where your account is connected through our platform, the Stripe Connected Account Agreement (together, the "Stripe Terms"). The Stripe Terms are a contract between you and Stripe. Stripe may change them from time to time, and you are responsible for keeping up with those changes.
Stripe is an independent third party. Stripe is not our subcontractor or agent for your payments. Stripe alone decides whether to approve your account, which identity and business checks (KYC) it requires, whether to place a reserve or hold on your balance, when funds settle, and whether to restrict, pause or close your account. We do not control those decisions, cannot reverse them, and are not liable for them or for any delay in payouts. Questions about your Stripe balance, payouts or verification should go to Stripe through your Stripe dashboard.
How funds flow. Payments are created on your own Stripe account, as direct charges where your account is connected through our platform. Funds settle to your Stripe balance and are paid out to your bank account on Stripe's schedule. Stripe's own processing fees are charged by Stripe to your account under the Stripe Terms.
Application fee. Where your plan or order form includes a platform transaction fee, we collect it as a Stripe application fee deducted from each payment at the time of the charge. The applicable rate is the one stated in your plan or order form; if none is stated, no application fee applies. When you issue a refund through the WebForger dashboard, the application fee for the refunded amount is returned with the refund. Stripe does not automatically return the application fee on a refund you make outside the WebForger dashboard (for example, directly in your Stripe dashboard) or on a payment reversed through a dispute or chargeback; to have the fee returned with a refund, issue the refund through the WebForger dashboard.
Disputes and chargebacks. Disputes, chargebacks, reversals, refunds and any related fees or negative balances belong to you and your Stripe account. You are responsible for responding to disputes, with evidence, within the time Stripe allows. We may surface dispute information in the dashboard for convenience, but we do not respond to disputes on your behalf.
Card data. Card and wallet details are entered into Stripe's hosted payment elements and go directly to Stripe. They never pass through or are stored on WebForger servers. We receive only the payment status and limited references (for example, a payment identifier, card brand and last four digits) needed to record the order.
Information we share with Stripe. You authorise us to share with Stripe the information about you, your store and your transactions that Stripe needs to provide its services (including the order amount and currency, order references, the shipping name and address for shipped orders and, for subscriptions, the buyer's email address), and to receive from Stripe the account status and transaction information needed to run your store.
4. Consumer law and your buyers
As the seller, you are responsible for meeting consumer protection law in the places you sell to, including the New Zealand Consumer Guarantees Act 1993 and Fair Trading Act 1986, and the Australian Consumer Law where you sell to Australian buyers. Guarantees about acceptable quality, fitness for purpose, delivery, and accurate descriptions and pricing are given by you, not by WebForger.
WebForger supplies software and hosting to you, the business. We do not supply goods or services to your buyers and we do not give them any guarantee. If a buyer contacts us about an order, we will refer them to you.
5. Your obligations as a merchant
- Store policies. Publish on your site, and follow, your own refund and returns policy, shipping and delivery policy, terms of sale, and privacy policy. Any templates or starter text we provide are a convenience only; you are responsible for checking and adapting them for your business.
- Accurate listings. Describe your products, prices, stock and delivery times accurately and keep them up to date.
- Taxes. You are responsible for registering for, charging, collecting and paying any GST, sales tax or duty on your sales. Any tax settings in the platform are tools you configure; they are not tax advice. WebForger is not a marketplace operator or tax collector for your sales.
- Marketing consent. Marketing emails sent from your store (including abandoned checkout reminders, campaigns and membership or loyalty messages) are sent on your behalf and you are the sender. You must have the consent the law requires before sending them, keep a record of it, identify your business in each message, and honour unsubscribe requests promptly. This includes the New Zealand Unsolicited Electronic Messages Act 2007 and the Australian Spam Act 2003. You must not remove or work around the unsubscribe mechanism included in marketing emails sent through the platform.
- Age-restricted products. If you sell anything that is restricted by age (for example, alcohol or vaping products where permitted), you are responsible for age verification at the point of sale and at delivery as the law requires. The platform does not verify buyers' ages for you.
- Restricted and prohibited products. You must not sell anything listed in Stripe's Prohibited and Restricted Businesses list unless Stripe has approved your account for it. Stripe's rules decide what Stripe will process: where Stripe prohibits a product or business, you must not sell it through your store's checkout. Everything else is governed by our Acceptable Use Policy, including its prohibitions and the attestation requirements for regulated industries in sections 3 and 4. Being permitted under our AUP does not mean Stripe will accept your business, and Stripe's approval does not permit anything our AUP prohibits.
- Buyer data. Use your buyers' personal information only for running your store and in line with your own privacy policy and the law. Our role as your processor is set out in the Data Processing Addendum.
6. Subscriptions, gift cards, store credit and memberships
These features let you sell recurring products and offer stored value or rewards to your buyers. In every case you are the issuer and WebForger provides the software that records and applies them.
- Subscriptions. Recurring charges are made on your Stripe account with your buyer's authorisation. You must clearly tell buyers the price, billing frequency, renewal terms and how to cancel before they subscribe, and you must honour cancellations.
- Gift cards. Gift cards are issued by you and are your liability until redeemed or expired. You set their terms and must follow any rules on minimum expiry periods and disclosure, for example the three-year minimum expiry period for most gift cards sold in Australia.
- Store credit. Store credit is a balance you grant to a buyer for use in your store. It is your obligation, has no cash value from WebForger, and cannot be redeemed with us or on any other store.
- Loyalty points and membership tiers. Points, tiers, member pricing and member perks are your programme under your own rules. You may change or end the programme in line with the rules you published to your members and with consumer law.
Balances and memberships recorded in the platform are records kept for you. If you close your store or account, you remain responsible to your buyers for any unredeemed gift cards, store credit, points or prepaid subscription periods, and you should export the records you need during the export grace period in the Terms.
7. Product reviews and other buyer content
Buyers may post reviews, ratings, photos and similar content on your store ("Buyer Content"). You are responsible for how you collect, moderate and display Buyer Content.
- Reviews must be genuine. You must not write, buy, or incentivise reviews without disclosure, and you must not post reviews from people who have not used the product.
- You must not edit reviews to change their meaning, and you must not hide or remove reviews in a way that gives a misleading impression of your products, for example by suppressing negative reviews while showing positive ones.
- You must moderate Buyer Content within a reasonable time and remove content that is unlawful, defamatory, infringing, or that discloses another person's private information.
- If you import reviews from another platform, you are responsible for having the right to do so and for the reviews being genuine.
We may remove or hide Buyer Content that we believe in good faith breaches these terms, the AUP or the law, or that is the subject of a valid complaint under our Copyright & Takedown process.
8. Orders placed through AI agents
Your store can be made available to third-party AI shopping agents through a structured channel that lets an agent search your catalogue and prepare a checkout for a buyer. An order that starts through that channel is placed and paid for through your store's checkout and is treated the same as any other order: the same prices, stock, policies and payment flow apply, and you are the seller.
The channel follows the AI Engines setting for your site in your dashboard, which you can change once your custom domain is active; stores served only from a WebForger subdomain are not offered on it. There is no separate switch for ordering. Switching AI Engines off removes the channel and also asks AI crawlers not to index your site and refuses AI agents and crawlers access to your site's pages, which affects how your store appears in AI search and assistant results.
AI agents are operated by third parties, not by WebForger. We are not responsible for what an agent tells a buyer, for an agent placing an order the buyer did not intend, or for the agent's own terms or conduct. You may cancel or refund agent-placed orders under your normal policies. Your usual fraud checks and Stripe's risk screening continue to apply.
9. Digital downloads, wishlists and other store tools
If you sell or share digital files, you must own or be licensed to distribute them, and you set the licence terms for your buyers. Wishlists, saved carts and similar tools store buyer preferences for your store and are covered by the Data Processing Addendum.
10. Our right to pause commerce features
We may suspend checkout, unpublish products, switch off the AI agent ordering channel, or disable other Commerce Features on your site if: (a) you breach these Commerce Terms, the Terms or the AUP; (b) Stripe restricts or closes your account or tells us your store breaches the Stripe Terms; (c) we receive credible reports of non-delivery, fraud, or harm to buyers; or (d) we are required to by law or by our infrastructure providers. Where it is safe and lawful to do so, we will tell you why and give you a reasonable chance to fix the problem first.
Suspending Commerce Features does not by itself suspend the rest of your site. We do not hold, freeze or release funds in your Stripe account; those decisions are made by Stripe.
11. Liability and indemnity
The limitation of liability in section 13 of the Terms applies to Commerce Features. Our single aggregate cap under the Terms covers all claims, including claims about Commerce Features; these Commerce Terms do not create a separate or additional cap. For the purpose of that cap, amounts you paid us include application fees we retained in the relevant 12-month period.
In addition to section 15 of the Terms, you agree to indemnify WebForger and Always Digital Limited against third-party claims (including claims by buyers, regulators, card networks or Stripe) arising from your products, your sales, your store policies, your marketing messages, your handling of buyer data, Buyer Content you publish, or your breach of these Commerce Terms or the Stripe Terms.
12. Changes and contact
We may update these Commerce Terms in the same way as the Terms (section 17), with at least 30 days' notice for changes that materially affect your rights or obligations. Questions about these terms: hello@webforger.ai. Questions about payouts or your Stripe account: contact Stripe through your Stripe dashboard.
